Company formation and structuring

This includes name approval, drafting the memorandum and articles, obtaining director identification numbers and digital signatures, and completing registration with the Registrar of Companies.

Corporate governance advisory

Good governance is more than a filing obligation. We help boards define the framework within which decisions are made — the composition and functioning of the board and its committees, the boundaries of delegated authority, related party transaction policies, and the internal controls that give directors confidence in what they are approving.

For growing businesses preparing for external investment, we work with promoters to bring governance practices up to the standard that institutional investors and lenders expect.

Transactions and restructuring

We support corporate restructuring exercises including mergers, amalgamations, conversions between entity types and changes in capital structure, coordinating the procedural and regulatory requirements alongside the client’s legal counsel.

Compliance review and regularisation

Where past compliance has lapsed, we review the company’s records and filings, quantify the exposure, and manage the process of regularisation — including condonation and compounding applications where these are required.
